PBRA Bylaws

PBRA was Incorporated in 1989 in the State of Maine as a non-profit organization under Section 501(c)(3) of the Internal Revenue Code.

The articles of incorporation were amended March 20, 2012 to reflect a change from 501(c)(3) to 501(c)(4) status. The Bylaws were revised by unanimous vote at the Annual Meetings of the Association on August 13, 2014, and August 10, 2016.

Article I: Name & Objective

The name of this Association shall be the Paul Bunyan Road Association. The objectives of the Association shall be to stimulate interest in, and to devise ways and means for the promotion of the civic, community, and general welfare of the property owners of the Corea by the Sea subdivision and the general community at large. The welfare of the property owners shall be guarded by working to enforce the deeded covenants of the subdivision, either by encouraging voluntary compliance, or by legal means, if necessary. The activities of the Association will be consistent with the federal guidelines for 501 (c) (4) organizations.


Article II: Membership & Dues

Section 1. The membership of the Association shall consist of persons owning property (or their designee) within the subdivision known as Corea by the Sea (fronting on Paul Bunyan Road, Peninsula Road, Grand Marsh Bay Road, Roaring Brook Road, or Bay Point Lane).

Section 2. Membership dues shall be $35.00 per year, payable on or after the date of the annual meeting, unless the amount of dues is changed by majority vote of those present at the annual membership meeting.


Article 3: Board of Directors

Section 1. The Board of Directors shall consist of at least seven members who shall be elected by a majority vote of the members present at the annual meeting and who shall hold office until the annual meeting of the following year. When more than one candidate is nominated for any one office, elections shall be conducted by secret ballot.

Section 2. All Board members and Chairpersons of the standing committees shall be full or part-time residents of Corea by the Sea, the boundaries of which are defined in Article II.

Section 3. A nominating committee of three members shall be appointed by the officers and this committee shall nominate candidates for the Board of Directors.

Section 4.   Should a member of the Board of Directors become unable to serve, the remaining members of the Board shall appoint someone to serve the unexpired term.


Article IV: Duties of Officers & Commititees

Section 1. The Chairperson shall preside at all meetings of the Association and shall report to the Association at its annual meeting all actions of the Board of Directors, enforce the Bylaws and rules of order, appoint necessary committees and discharge such other duties as may devolve upon her/him by action of the Association.

Section 2. It shall be the duty of the Vice-Chairperson to act in the absence of the Chairperson or upon request of same.

Section 3. In the absence of the Chairperson and Vice-Chairperson, the Board shall designate a temporary presiding officer.

Section 4 It shall be the duty of the Secretary:
• to record the minutes of meetings in a book provided for that purpose,
• to bring these minutes to all meetings of the Association,
• to notify all members of the time and place of regular and special meetings,
• to perform such other duties as are usually required of the office, including correspondence and needed mailings to members.

Section 5. It shall be the duty of the Treasurer:
• to maintain the financial records of the Association, including a current listing of members and dues paid,
• to bring these records to all meetings of the Association,
• to perform such other duties as are usually required of the office.


Article V: Meetings

Section 1. The annual meeting shall be held on or about the second Wednesday of August.

Section 2. Business may be transacted by a two-thirds majority of voting members present at the annual meeting. (In the case of commonly or jointly owned property, one owner or his/her designee shall be the voting member.)


Article VI: Amendments

These Bylaws may be amended at any regular meeting of the Association by two-thirds of the members present and voting.
